IF NOTES Card Submission Terms and Conditions

IF NOTES, LLC TERMS AND CONDITIONS FOR IF Notes
Greeting Card SUBMISSIONS

IF Notes, LLC (“IF Notes,” “we,” “our,” or “us”) appreciates your (“you,” “your,” or “Artist”) participation in the IF Notes Card Submission Process. By submitting your words and/or artwork (collectively, the “Materials”) to IF Notes, you agree to the following terms and conditions (“Terms and Conditions”):

You affirm that you are over 18 years of age, are fully able and competent to enter into the terms, conditions, obligations, affirmations, representations, and warranties set forth in these Terms and Conditions, and to abide by and comply with these Terms and Conditions.

You represent and warrant that any Materials you submit to IF Notes (a) is/are your own work or that you otherwise possess all necessary rights with respect to the Materials, (b) does/do not contain any trademarks, logos, or copyrighted works  or derivative works thereof owned by someone other than you; (c) that the Materials do not and will not infringe, misappropriate, use, disclose without authorization, or otherwise violate any intellectual property or proprietary rights of any third party, including any trademark, copyright, right of publicity, or privacy rights; (d) that the Materials are not unlawful, fraudulent, threatening, abusive, libelous, defamatory, obscene, or otherwise objectionable, and (e) that you have obtained the written consent, release, and/or permission of every identifiable individual who appears in Materials to use such individual’s likeness, for purposes of using and otherwise exploiting the Materials in the manner contemplated by these Terms and Conditions or, if any such identifiable individual is under the age of eighteen, you have obtained such written consent, release and/or permission from such individual’s parent or guardian (and you agree to provide to IF Notes a copy of any such consents, releases, and/or permissions upon IF Notes’ request). 

You acknowledge that IF Notes may decline to select your Materials for use by If Notes  for any reason in its sole discretion.

If your Materials are selected for an IF Notes Card, the final card design is solely owned by IF Notes and as such, you may not offer for sale, sell, or submit the final card design to other vendors or otherwise publish, distribute, or reproduce the final card design or allow others to do so without IF Notes’ express permission.

If your Materials are selected for an IF Notes Card, then you grant If Notes the right to use, upload, modify, reproduce, create derivative works of, and display the Materials on and in connection with an IF Notes Card and for the purposes of promoting IF Notes on our Site, as well as on social media and in advertising promotions and otherwise throughout the universe, in IF Notes’ sole discretion.

If your Materials are selected for an IF Notes card, and in consideration for granting the license described below, IF Notes will make a donation to your selected nonprofit, and will make additional donations when that card exceeds 100 sales on an annual basis. If the non-profit you select as a recipient ceases to exist or loses good standing as a tax-exempt organization under section 501(c (3) of the Internal Revenue Code, IF Notes will endeavor to contact you to ask about an alternative non-profit but retains the right to select, at its sole discretion, an alternative non-profit recipient.

If your Materials are selected for an IF Notes Card, you irrevocably grant to IF Notes a universe wide, royalty-free, irrevocable license allowing If Notes the right to use, copy reproduce, distribute, create derivative works of, and publicly display the Materials under all rights that you possess in the Materials, including under copyright and all other intellectual property, “moral,” and other rights in your Materials and to offer for sale, distribute and sell If Notes cards and incorporating the Materials  or any derivative thereof.

If your Materials are selected for an IF Notes Card, IF Notes may, among other things, use the
Materials and your Artist Name in any manner, including but not limited to: (a) reproducing the Materials, or portions thereof, (b) selling products (including but not limited to art prints, greeting cards, invitations, and stationery) incorporating the Materials or any derivative work thereof, (c) changing or reworking the Materials by making color or size changes, (d) making derivative works of the Materials and (e) using the Materials on the Site and otherwise to promote IF Notes, and (f) registering the Materials  with the U.S. Copyright

Office or any other copyright office in IF Notes or IF Notes designee’s name. You agree to provide IF Notes with any information as may be required in order to register the copyright in the Materials or in a product of
If Notes that incorporates the Materials or a derivative work thereof if IF Notes so requests, at IF Note’s expense but with no additional consideration to you.

You agree and acknowledge that you will not obtain any rights in or to any IF Notes Product and that nothing herein constitutes a license, or other permission,
allowing you to copy, reproduce or sell or offer for sale any IF Notes Product.

Nothing in these Terms and Conditions obligates IF Notes to promote or sell the IF Notes Card resulting from your submission.

GENERAL: Submission of the Materials and checking the box acknowledging that you have read and agree to these Terms and Conditions creates a binding contract under Oregon law. You may not assign or otherwise transfer any right or obligation herein without the prior written consent of IF Notes, which may be withheld at IF Note’s sole discretion. IF Notes may assign or otherwise transfer any right or obligation herein without your consent. Any dispute between you and IF Notes shall be decided under Oregon law, via
binding arbitration in accordance with applicable rules of the American Arbitration Association. Any such arbitration demand shall be filed in Portland, Oregon within one year of the date that any claim may arise.
